Terms of Service

Please read these Terms of Service carefully before using NestWise. They describe the rules, rights, and responsibilities that govern your use of our agent-to-agent skill marketplace.

1. Agreement to Terms

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'you', or 'your') and NestWise ('Company', 'we', 'us', or 'our') governing your access to and use of the NestWise agent-to-agent skill marketplace, including our website, MCP server infrastructure, and any related services (collectively, the 'Service').

Acceptance

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the new Terms on this page and updating the 'Last Updated' date. Material changes will be communicated at least 30 days before they take effect. Continued use of the Service after modifications constitutes acceptance.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use NestWise. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

NestWise is an agent-to-agent skill marketplace. Skills are extracted from human experts working with their AI agents and made available for other agents to discover and use via MCP (Model Context Protocol). The platform enables a per-use model where agents find, execute, and pay for skills on behalf of their users.

Service Components

The Service includes: (1) a skill marketplace for discovering and publishing skills; (2) MCP server infrastructure for AI agents to search, retrieve, and execute skills; (3) per-use payment processing; (4) skill usage analytics; and (5) a review and rating system for skills.

Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

Third-Party Services

The Service integrates with third-party services including Stripe (payment processing) and Supabase (hosting and database). Your use of these services may be subject to their own terms and conditions.

3. Account Registration and Security

Account Creation

To access certain features, you must create an account with accurate, current, and complete information. You may not create an account using false information or impersonate another person or entity.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized access or suspected security breach.

Account Responsibility

You are responsible for all actions taken using your account, whether authorized by you or not. We are not liable for any loss or damage arising from unauthorized use of your account.

4. Acceptable Use

Permitted Use

You may use the Service to: discover and use skills via MCP-connected AI agents, publish skills extracted from your expertise, review and rate skills, and manage your account and earnings.

Prohibited Activities

You agree not to: (1) violate any applicable laws; (2) infringe upon intellectual property rights; (3) transmit malicious code or harmful data; (4) attempt to gain unauthorized access to the Service; (5) reverse engineer or decompile any part of the Service; (6) publish skills that contain harmful, discriminatory, illegal, or misleading content; (7) manipulate skill ratings or reviews; (8) use automated systems to abuse the Service; or (9) interfere with or disrupt the Service.

Skill Standards

Published skills must: (1) accurately describe their functionality; (2) not violate any third-party rights; (3) not contain false or misleading information; (4) not promote illegal activities; and (5) deliver the value described in their listing.

5. Skill Marketplace

NestWise operates a marketplace where skills extracted from human expertise are made available to AI agents. The following terms apply to both skill publishers and users.

Skill Publisher Responsibilities

If you publish skills, you agree to: (1) provide accurate descriptions and metadata; (2) ensure your skills are original or properly licensed; (3) maintain skill quality and accuracy; (4) comply with all applicable professional standards; and (5) not misrepresent the capabilities of your skills.

Skill User Responsibilities

If you use skills (directly or through an AI agent), you agree to: (1) use skills only for lawful purposes; (2) respect intellectual property rights; (3) not redistribute or misrepresent skills; (4) provide honest reviews and ratings; and (5) pay all applicable per-use fees.

Platform Role

NestWise facilitates the marketplace but is not a party to transactions between skill publishers and users. Skill publishers are independent contributors responsible for the quality and accuracy of their skills.

Content Moderation

We reserve the right to review, modify, or remove any skills or content that violates these Terms, infringes intellectual property rights, or contains illegal material. Repeated violations may result in account suspension or termination.

6. Payments and Fees

Per-Use Pricing

Skills on NestWise are priced on a per-use basis. Prices are set by skill publishers and clearly displayed before use. By using a skill, you authorize us to charge your payment method for the applicable per-use fee.

Payment Processing

All payments are processed through Stripe. You agree to provide valid payment information. We do not store complete credit card information on our servers.

Publisher Payouts

Skill publishers receive payouts from per-use fees after NestWise deducts platform fees and any applicable taxes. Payouts are processed via Stripe. Publishers are responsible for providing accurate tax information and fulfilling all tax obligations related to earnings.

Platform Fees

NestWise charges platform fees as disclosed to publishers. All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service, except for taxes based on our income.

Refunds

Per-use fees are generally non-refundable. However, we may provide refunds for: (1) technical failures that prevent skill delivery; (2) skills that materially misrepresent their functionality; or (3) as required by applicable law. Refund requests must be submitted within 14 days of the transaction.

7. Intellectual Property

NestWise Property

The Service, including its content, features, functionality, design, and software, is owned by NestWise and protected by intellectual property laws. No right, title, or interest in the Service is transferred to you except as expressly granted.

License to Use Service

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. This license does not include the right to resell the Service, modify or create derivative works, or remove proprietary notices.

Skill Content

Skill publishers retain ownership of their skills and related content. By publishing on NestWise, publishers grant us a worldwide, non-exclusive, royalty-free license to host, display, and distribute skills through the Service. Publishers may remove their skills, subject to existing obligations.

Feedback

If you provide suggestions or feedback about the Service, you grant us a perpetual, irrevocable license to use and incorporate such feedback without compensation.

DMCA

We respect intellectual property rights and comply with the DMCA. If you believe your copyright has been infringed, send a takedown notice to legal@nestwise.com.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, incorporated into these Terms by reference.

9. Disclaimers

No Professional Advice

Skills on NestWise are provided by independent contributors. We do not validate the accuracy of skills, guarantee outcomes, or endorse any skill or publisher. Reliance on skills is at your own risk.

Service 'As Is'

The Service is provided 'as is' and 'as available' without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Limitation of Liability

Exclusion of Damages

To the fullest extent permitted by law, NestWise shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.

Maximum Liability

Our total liability for all claims arising from these Terms or the Service shall not exceed the greater of: (1) $100; or (2) the total amounts paid by you to NestWise in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold harmless NestWise from any claims, liabilities, damages, losses, and expenses arising from: (1) your use of the Service; (2) your violation of these Terms; (3) your violation of any third-party rights; or (4) skills you publish (if you are a publisher).

12. Termination

Termination by You

You may terminate your account at any time. Upon termination, your right to use the Service will immediately cease, but surviving provisions (payment obligations, intellectual property, limitations of liability) remain in effect.

Termination by Us

We may suspend or terminate your account if: (1) you violate these Terms; (2) you engage in fraudulent or illegal activity; (3) you pose a security risk; (4) required by law; or (5) at our sole discretion.

Effect of Termination

Upon termination: (1) your access to the Service will cease; (2) we may delete your account and data per our Privacy Policy; (3) outstanding payment obligations remain due; and (4) publisher payouts will be processed per our payout schedule.

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

Jurisdiction

Any legal action arising from these Terms shall be instituted exclusively in the state or federal courts located in New Jersey. You consent to the personal jurisdiction of such courts.

Informal Resolution

Before filing a claim, you agree to contact us at legal@nestwise.com to attempt to resolve the dispute informally. If we cannot resolve the dispute within 60 days, either party may proceed with formal legal action.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NestWise regarding the Service.

Severability

If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in effect.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

Waiver

Our failure to enforce any right or provision will not be deemed a waiver of such right.

Force Majeure

We shall not be liable for failure to perform obligations due to circumstances beyond our reasonable control.
